This document outlines the terms of use and disclaimer for accessing and operating the MFT system at ZS Associates and its affiliated entities ("ZS", "we", "our", or "us"). By using the system, you agree to comply with the terms outlined below.

1. Purpose and Authorized Use

The MFT system is a secure file transfer platform intended solely for authorized ZS employees, contractors, and designated partners. It must be used only for business-related file transfer operations that are explicitly approved under ZS Associates data transfer policies. Unauthorized or personal use is strictly prohibited.

2. Confidentiality and Data Protection

Users are responsible for ensuring that all files transferred through the system comply with applicable data protection regulations and internal confidentiality agreements. This includes, but is not limited to:

• Handling sensitive or proprietary data with appropriate encryption and security.
• Avoiding the transfer of personal data unless explicitly authorized.
• Verifying recipient access rights before initiating transfers.

ZS is not liable for any data loss, corruption, or delays resulting from the use of the system.

3. User Responsibility

Each user is responsible for:

• Keeping login credentials secure and confidential.
• Logging out after each session.
• Reporting any system misuse or suspected breach to IT Security immediately.
• Following internal protocols for classifying, naming, and tracking transferred files.

4. Monitoring and Auditing

All file transfer activities may be monitored, logged, and audited for compliance, troubleshooting, and security purposes. ZS reserves the right to review and investigate any suspicious activity.

5. Compliance with Policies and Regulations

Users must comply with:

• ZS Associates Acceptable Use Policy
• Data classification and handling policies
• Local, regional, and international data security laws (e.g., GDPR, HIPAA, etc.)

6. Modifications to Disclaimer

ZS Associates reserves the right to amend this Disclaimer and related policies at any time. Users will be notified of material changes. Continued use of the system after updates constitutes agreement to the revised terms.

7. Acknowledgment

By accessing or using the MFT system, you acknowledge that you have read, understood, and agreed to the terms in this Disclaimer.
